Contracts Manager

This is a Full-time position in Dodge City, KS posted August 11, 2021.

In this role, the successful candidate as the Contracts Manager supports the Office of Industrial Liaison (OIL) in skillfully structuring, drafting, and negotiating a diverse portfolio of intellectual property-based commercial and academic transactions to advance the research, education and patient care missions of NYU Langone Health.

The position entails working closely with multiple internal and external parties, including commercial partners, collaborating institutions, faculty and researchers, the Deans Office, Office of Legal Counsel, Office of Science and Research, Development, Department of Insurance & Enterprise Risk Management, among others.

Job Responsibilities: Draft, review and negotiate a diverse portfolio of intellectual property-based contracts, with a focus on industry sponsored matters, including Collaborative Research Agreements, Sponsored Research Agreements, Tangible Property Licenses, and Exclusive Licenses.

Advise and assist internal customers by interpreting and explaining contract terms and conditions of research-related contracts.

Craft persuasive arguments to influence external sponsors and collaborating institutions during negotiations.

Maintain positive and productive relationships with industry and academic sponsors.

Effectively identify and negotiate contract language acceptable to NYULH as a non-profit institution, including but not limited to intellectual property, confidentiality, and publication terms.

Actively contribute to the development of training programs and standard operating procedures for new and current OIL staff to facilitate the provision of consistent information to the research community.

Provide input on the internal processes and procedures for the Contracts Team to maximize its efficiency and effectiveness.

Develop standardized contract templates and tools to support OIL commercialization and actively maintains same by keeping up to date with the state-of-the-art commercial contracting and intellectual property transactions.

Provide training and education to OIL staff, OIL intern programs, NYULH, and the broader university community regarding contracting in intellectual property transactions.

Performs additional duties as assigned.

Minimum Qualifications: To qualify you must have a Juris Doctorate required.

Advanced degree in science with CLP designation a plus; CIPP or CIPM designation a plus.

3-5 years relevant experience in technology commercialization or intellectual property, ideally within a university research setting.

Advanced understanding of commercial contract law and intellectual property law, particularly with respect to patent and commercial licensing agreements.

Demonstrated ability to draft, negotiate and conclude industry research agreements.

Ability to work independently and escalate appropriately.

Strong analytical and problem-solving skills to review and analyze complex information.

Demonstrated customer service skills in a fast-paced, high-volume, dynamic and intellectually challenging work environment.

Sensitivity to sponsor and investigator confidentiality.

Excellent interpersonal skills, sound judgment and the ability to conduct negotiations in a timely manner Preferred Qualifications: New York Bar admission preferred.
